Item 5.07 Submission of Matters to a Vote of Security Holders.

On June 15, 2023, HireQuest, Inc. (the “Company”) held its 2023 Annual Meeting of Stockholders (the “Annual Meeting”). At the Annual Meeting, the Company’s stockholders voted to: (i) elect each of the six nominees for director to serve until the next annual meeting of stockholders or until his or her successor is duly elected and qualified, (ii) ratify the selection of FORVIS, LLP as the Company’s independent registered public accounting firm for the year ending December 31, 2023, and (iii) approve, on a non-binding advisory basis, the compensation of the Company’s named executive officers as disclosed in the proxy statement. The number of shares of common stock outstanding and eligible to vote as of April 24, 2023, the record date for the Annual Meeting, was 13,896,709. Of these, a total of 12,360,049 shares were voted, either in person or by proxy.
