PRE-QUOTATION DISCLOSURE

Hiremii Limited (ACN 642 994 214) ( Company ) provides the following confirmation to satisfy the conditions for admission of the Company's securities to quotation on ASX.

Capitalized terms used in this announcement not otherwise defined have the meaning given in the Company's prospectus dated 29 March 2021 ( Prospectus ).

1 Confirmation of Completion of Offers

The Company confirms the issue of:

• (a) 30,000,000 ordinary fully paid shares at an issue price of $0.20 per share, pursuant to the Offer;

• (b) 7,137,453 unquoted options exercisable at $0.30 each, expiring 3 years from the date of HMI’s admission to the Official List of ASX, pursuant to the Options Offer;

• (c) 6,000,000 unquoted options exercisable at $0.30 each, expiring 3 years from the date of HMI’s admission to the official List of ASX to the Joint Lead Managers (and/or their nominees) on the terms set out in section 9.2 of the Prospectus;

• (d) 4,000,000 unquoted options exercisable at $0.30 each, expiring 3 years from the date of HMI’s admission to the official List of ASX to the Key Management Personnel and Directors on the terms set out in section 9.2 of the Prospectus;

• (e) 20,604,167 fully paid ordinary shares on the conversion of convertible notes with an aggregate value of $2,285,000 on the terms set out in section 8.2(d) of the Prospectus; and

• (f) 3,571,429 fully paid ordinary shares on the conversion of convertible notes with an aggregate value of $500,000 on the terms set out in section 8.2(d) of the Prospectus.

2 Restricted Securities

The Company confirms the following securities will be subject to the following restrictions pursuant to the ASX Listing Rules for the period outlined below:
