Resignation of CEO and Managing Director and Appointment of Managing Director
Hiremii Limited (ASX:HMI) ( Hiremii or the Company ) advises of the resignation of its Chief Executive Officer and Managing Director, Chris Brophy, effective today, and is pleased to advise that it has appointed Mr Andrew Hornby, the current Chief Commercial Officer of Hiremii and Chief Executive Officer of Inverse Group Pty Ltd, the Company's wholly owned subsidiary (refer to the ASX announcements dated 5 November 2021 and 24 November 2021), as Managing Director, effective 31 December 2021.
Hiremii Director/Chairperson Alison Gaines said "Chris has made significant contributions to Hiremii since joining in the company. This has included progressing/guiding the business of the Company and Hiremii's listing on the ASX. We wish him the very best in his future endeavours."

Schedule
In accordance with ASX Listing Rule 3.16.4, the material terms of Mr. Hornby's arrangement are as follows:

Mr. Hornby will receive a base salary of $250,000 (exclusive of superannuation);

• subject to the Mr. Hornby's continued employment with the Company, Mr. Hornby will be entitled to a one-off annual cash bonus equivalent to 20% of his remuneration (exclusive of superannuation) if Inverse Group Pty Ltd achieves a 20% gross revenue increase for the financial year ended 30 June 2023 compared to the financial year ended 30 June 2022;

the Company and Mr. Hornby can terminate the agreement by giving 12 weeks’ notice in writing to the other party; and

the Company can summarily terminate the agreement on grounds of, amongst other matters, serious misconduct, serious or persistent breach of the agreement, breach of confidentiality or misusing the Company's intellectual property or behaviour that would damage the reputation, standing or goodwill of the Company.
