Re: Outcome of the meeting of the Rights lssue Committee of Hindustan Construction Company Limited (the "Company") held on December 27,2018

This is further to the meeting of the Board of Directors of the Company held on September 5, 2018 approving the issue of equity shares of the Company of face value ? 1 each (the "Equity Shares") by way of a rights issue to the existing shareholders of the Company on the record date for an amount not exceeding ? 500 crores in accordance with the Securities and Exchange Board of lndia (Issue of Capital and Disclosure Requirements) Regulations, 2009, as amended and other applicable laws (the "lssue") and approval of the terms of the lssue by the Rights lssue Committee at its meeting held on November 12,2018.

In relation to the lssue and pursuant to the finalization of basis of allotment of the lssue in consultation with BSE Limited, the Rights lssue Committee at its meeting held today i.e. December 27,2018, has considered and approved, inter alia, the allotment of 49,75,65,318 Equity Shares, at an issue price of ? 10 per Equity Share, including a premium of 7 9 per Equity Share.

The meeting of the Rights lssue Committee commenced at 11 .OO a.m. and got concluded at 12 noon.

This intimation is being issued in terms of Regulation 30 of the Securities and Exchange Board of lndia (Listing Obligations and Disclosure Requirements) Regulations, 2015, as amended.
