Sub: Outcome of Board Meeting pursuant to Regulation 30 of the SEBl (Listinq Obliqations and Disclosure Requirements) Regulations, 201 5

Pursuant to Regulation 30 of the SEBl (Listing Obligations & Disclosures Requirements) Regulations, 2015, kindly take note that based on the recommendations of Nomination & Remuneration Committee and Audit Committee, the Board of Directors of the Company, at its meeting held today i.e. on August 12, 2021, has approved the appointment of Mr. Rahul P. Rao as Chief Financial Officer and Key Managerial Person (KMP) of the Company in terms of the provisions of Section 203 of the Companies Act, 201 3 with effect from August 12, 2021.

A finance professional and strategic leader having over 26 years of diversified experience in steering financial and commercial process in varied industries, Mr. Rao will oversee the Company's finance activities.

Brief profile of Mr. Rahul P. Rao is as under:

Mr. Rao has a proven track record as a CFO in optimizing costs, augmenting profitability1liquiditylROl and ensuring adherence to statutory compliances & corporate governance. Further, Mr. Rao has deep exposure in dealing with financial institutions, in fund raising activities and implementation resolution plans.

He is also a Director & Co-founder of SAR Sanjivani Consultancy Services Pvt. Ltd., a company specializing in providing consultancy for business planning and strategic growth and ensuring handholding till success. Prior to co-founding SAR Sanjivani, he was holding senior finance positions in Va Tech Wabag GmbH, Vienna, Austria, Global Steel Holdings Ltd., Sofia, Bulgaria and Sterlite Industries lndia Ltd., Mumbai, India.

He has driven business plans involving execution, marketing, cash flow & procurement planning across group companies in Austria, Switzerland, Czech Republic, Romania, Turkey, Algeria, Tunisia & Macao, achieved strategic growth for each subsidiary based on individual & group SWOT analysis and commanded P&L responsibility for growth of the group as the Managing Director for a subsidiary in Turkey at VA Tech Wabag, as a startup company and restructured the whole Europe Cluster.

Mr. Rao is an MBA (Master of Management Studies - Finance) from Narsee Monjee Institute of Management Studies, Mumbai University, lndia and B.E. (Bachelor of Engineering - Electrical) from Sardar Patel College of Engineering, Mumbai University, India.
