Pursuant to Regulation 30 read with Schedule III Part A Para A (7) of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, we hereby inform you that the Board of Directors of the Company at its Meeting held on October 16, 2020 through video conferencing in Mumbai, have appointed Mr. Anil Kumar Chandani as the Chief Financial Officer (CFO) and Key Managerial Personnel (KMP) of the Company w.e.f. November 9, 2020 in place of Mr. Shailesh Sawa who has resigned as CFO & KMP of the Company w.e.f. July 9, 2020.

A brief profile of Mr. Anil Kumar Chandani

Mr. Anil Chandani as a finance professional has around 29 years' experience in multi-unit and multi product environment in varied industries including highways infrastructure, power infrastructure, building products as well as non-banking financial services & merchant banking. Mr. Chandani brings in expertise in Corporate finance. Project Finance. Fund Raising – by way of Debt & Equity Capital, Corporate Accounting & Taxation, Treasury, Strategic Restructuring, Mergers/Demergers & Valuations, Investor Relations, Credit ratings, Acquisitions & JVs etc.

Mr. Chandani joins us from Oriental Structural Engineers Pvt. Ltd. where he was the President - Finance & Accounts for the group which had 13 Highway SPV Companies. His responsibility included managing fund based and non-fund based working capitals, financial closures, BG limit sanctions, Financial & Tax due diligence, valuations, managing cash inflows & outflows and banking operations, Investments management, Internal Audit etc.

Prior to joining Oriental Structural Engineers Pvt. Ltd., Mr. Chandani was associated with The Hindusthan Group (Flagship Co.: Hindusthan Urban Infrastructure Ltd) as Chief Financial Officer and was responsible for arranging funds for green field projects, corporate accounts, direct & indirect taxation including implementation of SAP, working capital facilities, credit ratings, cash flow, etc. Earlier, Mr. Chandani had a long stint with HSIL Ltd. whereas a Corporate Finance person he was responsible for Fund Raising, Investor Relations Acquisitions & Joint Ventures, Corporate Restructuring, Mergers & De-Mergers etc.

Mr. Chandani has also worked with companies like GHCL Ltd., Asahi India Glass Ltd., MVL Group, Hero Group, SM Finance Ltd. He started his career with HCL group in accounts function.

Mr. Chandani is an ICWA, FCA, FCS and has also done a Diploma in Business Finance.
