Sub: Outcomes of Board Meeting - Intimation of declaration of Dividend, date of 62[nd] Annual General Meeting, the Book Closure for the purpose of AGM and final dividend and Date of payment of final dividend for 2019-20

Dear Sir/Madam,

We wish to inform you that the Board of Directors at their meeting held on 26[th] June, 2020 have approved and recommended final dividend @ 40% being Rs. 0.80/- per equity share (of face value of Rs. 2/- each) for the year ended 31[st] March, 2020 out of the profit of the Company, subject to the approval of members in Annual General Meeting.

The 62[nd] Annual General Meeting is scheduled to be held on Tuesday, 15[th] September, 2020 through Video Conferencing / Other Audio Video Means facility in compliance with the applicable provisions of the Companies Act, 2013 and Listing Regulations. The Register of Members and the Share Transfer books of the Company will remain closed from Wednesday, 9[th] September, 2020 to Tuesday, 15[th] September, 2020, both days inclusive, for annual closing and determining the entitlement of the Members to the Final Dividend for FY 2019-20.

If the Final Dividend as recommended by the Board of Directors is approved at the 62[nd] AGM to be held on Tuesday, 15[th] September, 2020 payment of such dividend will be paid within a week from the conclusion of the AGM.

(a) to all Beneficial Owners in respect of shares held in dematerialized form as per the data as may be made available by the National Securities Depository Limited and the Central Depository Services (India) Limited as of the close of business hours on Tuesday, 8[th] September, 2020;

(b) to all Members in respect of shares held in physical form after giving effect to valid transmission or transposition requests lodged with the Company as of the close of business hours on Tuesday, 8[th] September, 2020.
