Dear Sir/ Madam,

This is in continuation to our earlier intimation dated May 5, 2025, regarding the Board approval for incorporation of a subsidiary to facilitate global business expansion and explore new opportunities in international markets, including potential acquisitions to be undertaken through a subsidiary structure.

Pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, we wish to inform you that the proposal for acquisition of running business (including assets and intellectual property but excluding present and contingent liabilities) of BeLink Solutions, France has been approved by the Tribunal des Activités Économiques of Le Mans , vide judgment dated September 17, 2025, in Case No. 2025 005805. Hind Rectifiers Limited has emerged as the successful bidder.

BeLink Solutions, France is not a related party of Hind Rectifiers Limited.

The acquisition shall be undertaken through a subsidiary structure in France. The total consideration involved in the transaction amounts to Euro 1 million .

Hind Rectifiers Limited will acquire the assets, business and intellectual property of BeLink Solutions, France through a proposed subsidiary, wherein 100% preference shares and 66% equity shares will be held by Hind Rectifiers Limited and the balance 34% equity shares will be held by Promoter Group Companies.

BeLink Solutions, France operates in the industry of Robotics, EMS and Electronics R&D.

Possession of the said assets and business is expected to be obtained upon incorporation of the proposed subsidiary in France, which is expected to be completed by October 1, 2025.
