Dear Sir(s),

Pursuant to the Regulation 30(6) of the SEBI (Listing Obligation and Disclosure Requirements) Regulations, 2015, the Board of Directors of the Company in its meeting held on 10th October, 2025, on the recommendation of Nomination and Remuneration Committee of the Board of Directors, has appointed Mr. Manoj Nair as Chief Executive Officer (CEO) as Key Managerial Personnel (KMP) of the Company w.e.f. 10[th] October, 2025.

The Board has also decided that Mr. Suramya Nevatia shall relinquish the Chair of the Chief Executive Officer (CEO) and shall continue as Chairman & Managing Director and will also continue as Key Managerial Person (KMP) of the Company.

The detail as required under Regulation 30 of SEBI (Listing Obligation and Disclosure Requirements) Regulations, 2015, is given in the Annexure.

	Brief Profile	Mr. Manoj Nair is a Bachelor of Engineer – Production from JNEC, Aurangabad and has done the post graduate diploma in Sales and Marketing from Bhavan’s College. He has also done the Executive MBA from S. P. Jain Institute of Management (SPJIMR). He has varied experience in different industries. His last employment was as a CEO with IIMS Limited, A CK Birla Group Company. Earlier he was in different roles with Cummins India Limited.

	Brief Profile	Mr. Suramya Nevatia has done graduation from H. R. College of Commerce & Economics, Mumbai in 2009 and MSC in Marketing Management from Aston University, Birmingham, U.K. in 2010 with a First class merit. He has also done Post Graduate Diploma in Family Managed Business from S.P. Jain Institute, Mumbai. Mr. Suramya Nevatia, joined the Hind Rectifiers Limited as a Management Trainee during January 2011. He was promoted as Assistance General Manager and later on General Manager (Corporate). He has been designated as Chief Executive Officer w.e.f. 1st June, 2016. He is looking after and involved in all the operation and management of the Company. His function includes envisioning the Company's growth strategy and is responsible for the overall operations of the Company.
