POSSESSION NOTICE (for Immovable property only)

Whereas

The undersigned being the Authorised Officer of the Bank of Baroda under the Securitisation and Reconstruction of Financial Assets and Enforcement of Security Interest (Second) Act, 2002 and in exercise of powers conferred under Section 13(12) read with Rule 3 of the Security Interest (Enforcement) Rules, 2002 issued a Demand Notice dated 15/04/2021 calling upon the Borrower Mr. Pakul Satyendra Chaturvedi & Mrs Shalini Pakul Chaturvedi to repay the amount mentioned in the notice being Rs. 4,01,46,324.00 (Rupees Four Crores One Lakh Fourty Six Thousand Three Hundred Twenty Four Only) within 60 days from the date of receipt of the said notice.

The Borrower having failed to repay the amount, notice is hereby given to the Borrower and the public in general that the undersigned has taken possession of the property described herein below in exercise of powers conferred on him/her under sub section (4) of Section 13 of the said Act read with Rule 8 of the Security Interest (Enforcement) Rules 2002 on this 1ST day of July of the year 2021.

The Borrower/Guarantor/Mortgagors in particular and the public in general is hereby cautioned not to deal with the property and any dealings with the property will be subject to the charge of Bank of Baroda for an amount of Rs. 4,01,46,324.00 (Rupees Four Crores One Lakh Fourty Six Thousand Three Hundred Twenty Four Only) and interest thereon at the contractual rate plus cost, charges and expenses till date of payment.

In this regard, the Notice of the Postal Ballot can be downloaded from the website of the Company at http://www.hiltonmetal.com/wpcontent/uploads/2021/07/Notice-of-Postal-Ballot.pdf and from the website of National Securities Depository Limited ("NSDL") at https://nsdl.co.in/. The Notice is also displayed on the website of BSE Limited and NSE Limited, where the shares of the Company are listed. The Company has engaged the services of NSDL for the purpose of providing e-voting facility to all its Members. The voting period will commence from Tuesday, 6th July, 2021 at 9.00 a.m. IST and end on Thursday, 5th August, 2021 at 5.00 p.m. IST. The e-voting module shall be disabled by NSDL for voting thereafter.

कायद्याचे कलम १०८ सोबत वाचले जाणारे कंपनी (व्यवस्थापन आणि प्रशासन) नियम, २०१४ चा नियम २० आणि सुचीकरण नियमनाचे नियमन ४४, आणि परिपत्रके ह्यांचे अनुपालन करत कपनीने सदस्यांना सूचनेमध्ये माडलेल्या ठरावावर त्यांचे मत माडण्याचा अधिकार बजावण्याची सुविधा केफिनटेकने पुरवलेल्या ई–मतदानाच्या सेवामार्फत पुरवलेली आहे.

डीमटिरिअलाइइड स्वरूपात किंवा भौतिक स्वरूपात भाग बाळगणारे सदस्य, ज्याची नावे सदस्य नोंदवहीत / लाभार्थी मालकाच्या यादीत अंतिम दिनाकारोजी दिसत असतील ते त्याची मते ई– .मतदान यत्रणा वापरून त्याची मते देऊ शकतील. अशी कोणतीही व्यक्ती जी १८व्या एजीएमच्या सूचनेच्या पाठवणीनंतर आणि कंपनीची सदस्य होते आणि अंतिम दिनाकारोजी नुसार कंपनीचे भाग बाळगते, ती दरस्थ ई–मतदानावरील तसेच व्हीसी / ओएव्हीएम मार्फत एजीएममध्ये सहभाग घेण्यासाठीच्या जीएमपरिम्यान मते देण्यासाठीच्या सूचनासाठी १८व्या एजीएमच्या सूचनेचा संदर्भ घेऊ शकते. उपरोक्तविषयी कोणतेही प्रश्न असल्यास, सदस्य einward.ris@kfintech.com येथे किंवा cs@uti.co.in येथे लिहून कळवू शकतात.

दूरस्थ ई–मतदान सुविधा मतदानासाठी मगळवार, २७ जुलै २०२१ रोजी संध्या ०५:०० वाजता (भाप्रवे) निष्क्रीय केली जाईल. ई–मतदान यत्रणेमार्फत मतदान करण्याची सुविधा २८ जुलै २०२१ पूरे पश्च अपना सन्ना सन्नामाण सम्मार स्टब्स्राजी आयोजित १८व्या एजीएमदरम्यानही उपलब्ध केली जाईल. ज्या सदस्यांनी १८व्या एजीएमपूर्वी दूरस्थ ई–मतदानाद्वारे मतदान करण्याचा त्यांचा अधिकार बजावला आहे ते सुद्धा १८व्या एजीएममध्ये उपस्थित राहू / सहभाग घेऊ शकतात परंतु ते त्यांचे मत पुन्हा देण्यास पात्र नसतील.

एमसीए सर्क्युलर्सच्या बाबतीत, २५ जून, २०२१ ('कट ऑफ डेट') रोजीस शेअर्स धारण करणाऱ्या कंपनीच्या सभासदांना २ जुलै, २०२१ रोजी इलेक्ट्रॉनिक पद्धतीने टपाल मतदानाची सूचना पाठवणे कंपनीने पूर्ण केले आहे. कट-ऑफ डेट रोजीस डिपॉझिटरीजकडून ठेवण्यांत येत असलेल्या लाभार्थी मालकांच्या नोंदवहीत ज्यांची नावे नोंदवलेली असतील ते सभासद ई-व्होटींगने त्यांची मते देण्यास हक्कदार असतील.

सर्क्युलर्स नुसार, टपाल मतपत्रिका आणि आगाऊ टपाल खर्च प्रदान केलेल्या व्यावसायिक उत्तरादाखल पाकिटासह टपाल मतदानाच्या सूचनेची हार्ड कॉपी सभासदांना पाठवली जाणार नाही. सभासदांच्या होकार किंवा नकाराचे दळणवळण फक्त रिमोट ई-व्होटींग सिस्टीम मार्फत होईल

्राःह्या बाबतीत, टपाल मतदानाची सूचना कंपनीची वेबसाईट http://www.hiltonmetal.com/wpcontent/uploads/2021/07/Notice-of-Postal-Ballot.pdf वरून आणि नॅशनल सिक्युरिटीज डिपॉझिटरी लिमिटेड ('एनएसडीएल') ची वेबसाईट https://nsdl.co.in/ वरून डाऊनलोड करता येईल. कंपनीचे शेअर्स जेथे सूचिबद्ध आहेत त्या बीएसई लिमिटेड आणि एनएसई लिमिटेड च्या वेबसाईटवर सुद्धा सूचना प्रदर्शित केली जाईल.

कंपनीने तिच्या सर्व सभासदांना ई-व्होटींग सुविधा पुरवण्यासाठी एनएसडीएल ची सेवा नियुक्त केली आहे. मतदान कालावधी मंगळवार, ६ जुलै, २०२१ रोजी भाप्रवे स. ९.०० वा. पासून सुरु होईल आणि गुरुवार, ५ ऑगस्ट, २०२१ रोजी भाप्रवे सं. ५.०० वा. संपेल. त्यानंतर मतदानासाठी एनएसडीएल कडून ई-व्होटींग मॉड्युल निष्क्रिय केल जाईल

ज्या सभासदांनी त्यांचे ईमेल ॲड्रेस आणि मोबाईल क्रमांक नोंदवलेले नाहीत त्यांनी कृपया ते कंपनीच्या रजिस्ट्रार अँड ट्रान्स्फर एजंट, लिंक इनटाईम इंडिया प्रा. लि. कडे https://web.linkintime.co.in/EmailReg/Email\_Register.html येथे नोंदवावेत/अद्ययावत करावेत.

इलेक्ट्रॉनिक माध्यमातून मतदानाशी संबंधित कोणत्याही चौकशा/तक्रारींसाठी सभासदांनी कृपया evoting@nsdl.co.in येथे लिहावे किंवा सर्व कामाच्या दिवशी कामाच्या वेळेमध्ये टोल फ्री क्र. १८००१०२०९९०/१८००२२४४३० वर कॉल करावा.

टपाल मतदानाद्वारे ई-व्होटींगचा निकाल ई-व्होटींग संपल्याच्या जास्तीत जास्त दोन कामाच्या दिवसांत घोषित केला जाईल. तपासणी अधिकाऱ्यांच्या अहवालासह असा निकाल कंपनीची वेबसाईट www.hiltonmetal.com वर उपलब्ध असेल आणि बीएसई लिमिटेड व एनएसई लिमिटेड ला कळवला जाईल
