Notification under paragraphs 3.1.2R to 3.1.4R of the Disclosure and Transparency Rules

Hill & Smith Holdings PLC ('Hill & Smith' or the 'Company') announces that it has been notified that Mr Derek Muir, Chief Executive and a person discharging managerial responsibilities of Hill & Smith has been awarded 957 Ordinary Share options under the 2014 Employee ShareSave Scheme at an option price of £9.40 per share.

As a result of the award, Derek Muir now has a beneficial interest in 366,982 Ordinary Shares and holds conditional performance LTIP awards and share options over 158,362 Ordinary Shares in the Company.

Additionally, the Company further announces that it has been notified that Mrs Hannah Nichols, Chief Financial Officer and a person discharging managerial responsibilities of Hill & Smith has been awarded 3,191 Ordinary Share options under the 2014 Employee ShareSave Scheme at an option price of £9.40 per share.

As a result of this award, Hannah Nichols holds share options over 3,191 Ordinary Shares in the Company.
