Notification under paragraphs 3.1.2R to 3.1.4R of the Disclosure and Transparency Rules

Hill & Smith Holdings PLC ('Hill & Smith' or the 'Company') announces that it was notified on 16 April 2014 that Mr J C Humphreys, a person discharging managerial responsibilities of Hill & Smith sold a total of 4,902 ordinary shares in the company (of which 2,451 shares were sold by Mrs C A Humphreys) at an average price of 565.99 pence per share. The transaction was effected on the London Stock Exchange on 16 April 2014.

Following the above disposal Mr Humphreys has no beneficial interest in ordinary shares of the company but holds options over 15,000 ordinary shares under the company's Executive Share Option Scheme.
