Notification under paragraphs 3.1.2R to 3.1.4R to the Disclosure and Transparency Rules

Hill & Smith Holdings PLC ("Hill & Smith" or the "Company") announces that it has been notified that Mr M A Tonks, a person discharging managerial responsibilities of the Company, sold 18,006 ordinary shares of 25 pence each in Hill & Smith ("Ordinary Shares") on 9 April 2013 at a price of 419.50 pence per Ordinary Share. The transaction was effected on the London Stock Exchange.

Following this sale, Mr Tonks has no beneficial shareholding in the Company and continues to have outstanding awards under the Company's 2007 Long Term Incentive Plan, of 122,207 Ordinary Shares and options, through the 2005 ShareSave Scheme, over 6,570 Ordinary Shares.
