Notification under paragraphs 3.1.2R to 3.1.4R of the Disclosure and Transparency Rules

Hill & Smith Holdings PLC ('Hill & Smith' or the 'Company') announces that it has today been notified that Mr Derek Muir, a person discharging managerial responsibilities of Hill & Smith:

-          sold 3,000 ordinary shares in the Company at 862.00 pence per share.

-          purchased 3,000 ordinary shares in the Company at 868.00 pence per share (1,250 to be held in his Individual Savings Account ('ISA') and 1,750 to be held in the ISA of Mrs Diane Muir).

These transactions were effected on the London Stock Exchange.

Following the above, Mr Muir is beneficially interested in 275,877 ordinary shares in the Company and holds LTIPs/Options over 220,862 Ordinary Shares in the Company.
