Notification under paragraphs 3.1.2R to 3.1.4R to the Disclosure and Transparency Rules

Hill & Smith Holdings PLC ("Hill & Smith" or the "Company") announces that it has been notified that Mr C J Snowdon, a person discharging managerial responsibilities of the Company, sold 10,000 ordinary shares of 25 pence each in Hill & Smith ("Ordinary Shares") on 22 May 2014 at a price of 556.10 pence per Ordinary Share. The transaction was effected on the London Stock Exchange.

Following this sale, Mr Snowdon has a beneficial shareholding in the Company of 28,930 Ordinary Shares.
