Notification under paragraphs 3.1.2R to 3.1.4R of the Disclosure and Transparency Rules

Hill & Smith Holdings PLC ('Hill & Smith' or the 'Company') announces that it has today been notified that Mr Derek Muir, a person discharging managerial responsibilities of Hill & Smith:

-          sold 11,621 ordinary shares in the Company at 543.00 pence per share.

-          purchased 4,282 ordinary shares in the Company at 547.00 pence per share (1,988 to be held in his Individual Savings Account ('ISA') and 2,294 to be held in the ISA of Mrs Diane Muir).

These transactions were effected on the London Stock Exchange.

Following the above, Mr Muir is beneficially interested in 150,887 ordinary shares in the Company and holds LTIPs/Options over 228,705 Ordinary Shares in the Company.
