Notification under paragraphs 3.1.2R to 3.1.4R to the Disclosure and Transparency Rules

Hill & Smith Holdings PLC ('Hill & Smith' or the 'Company') announces that is has been notified that J C Humphreys and J P Whitehouse, both persons discharging managerial responsibilities of the Company, sold the following ordinary shares of 25 pence each in Hill & Smith ('Ordinary Shares') on 18 March 2014.

J C Humphreys sold 8,000 shares at a price of 544.0p/share

J P Whitehouse sold 5,000 shares at a price of 542.75p/share

Both transactions were effected on the London Stock Exchange.

Following these disposals J C Humphreys has a beneficial interest in 10,902 shares and holds options over 15,000 Ordinary Shares under the Company's 2005 Executive Share Option Scheme. J P Whitehouse has a beneficial interest in 1,903 Ordinary Shares, holds options over 15,000 Ordinary Shares under the Company's 2005 Executive Share Option Scheme and holds over 4,225 Ordinary Shares under the 2005 ShareSave Scheme.
