The following is a Company Announcement issued by Hili Properties p.l.c. (the "Company") pursuant to the Capital Markets Rules issued by the Malta Financial Services Authority in accordance with the provisions of the Financial Markets Act (Chapter 345 of the Laws of Malta), as amended from time to time.

Information to the Market

Reference is made to the Company Announcement issued on February 18, 2025 whereby the Company announced that it was notified by Hili Ventures Limited (C 57902) (the 'Offeror') of its intention to launch a conditional voluntary public takeover bid, for the acquisition of all the issued share capital of the Company in accordance with Chapter 11 of the Capital Markets Rules (the 'Bid'). The Company has now received notice confirming the launch of the Bid, pursuant to the terms of an offer document dated February 21, 2025 (the 'Offer Document').

The Offer is available to shareholders as registered at the Central Securities Depository of the Malta Stock Exchange up until (and including) February 20, 2025 (equivalent to the close of trading on February 18, 2025) from February 26, 2025 at 08:30 hours (CET) to March 25, 2025 at 12:00 hours (CET), further details of which may be found in the Offer Document which is available for viewing and download on the Company's website www.hiliproperties.com.

The Company will continue to keep the market updated in accordance with the Capital Markets Rules.
