Simplification of Group structure: Squeeze-out Sport1 Medien AG and increase of stake in Highlight Communications AG
Highlight Communications AG, a company of the HLEE Group, has almost completed the preparations for a squeeze-out of the minority shareholders of Sport1 Medien AG under stock corporation law.
A resolution on the squeeze-out is to be passed at a general meeting of Sport1 Medien AG, which is expected to take place on 14 December 2021.
Highlight Communications AG, which currently already holds more than 95% of the share capital of Sport1 Medien AG, will become the sole shareholder of Sport1 Medien AG when the squeeze-out takes effect. This will contribute to a further simplification of the Group structure.
In this context, Highlight Event and Entertainment AG is also taking advantage of opportunities to increase its stake in Highlight Communications AG. It therefore intends to acquire a larger block of shares in Highlight Communications AG from an independent third party at a price of EUR 4.50 per share.
