Appointment of New Directors and Board Structure

Key Points:

• Mr David Charles Croll – experienced company director and funds manager – appointed a Non-Executive Director;

• Mr James Brett Knowles – with mining and commercial expertise – appointed a Non-Executive Director;

• Messrs Croll and Knowles join Interim Chairman Geoffrey King and NonExecutive Directors Anthony Wooles and Andy Carroll towards delivering on new corporate initiatives;

• The Board intends to conduct a strategic review of the current portfolio and opportunities going forward.

High Peak Royalties Limited (ASX: HPR ) ( Company ) is pleased to announce the appointment of two new directors of High Peak Royalties.

The new appointments bring significant experience to the Company across mining, funds management, strategy development, geological expertise, and project (exploration) management as the Company progresses towards a more diversified portfolio.

With the appointment of two new Directors the interim Chairman Mr Geoff King has announced his intention to serve as interim Chairman up to the 2021 Annual General Meeting. This is consistent with the announcement made by the Company on 18 August 2021 around the review of Board roles and responsibilities generally, and the appointment of Messrs Croll and Knowles is a positive next step in that review.

Following the new Board appointments it is intended that a full strategic review of the current portfolio will be made in the context of evaluating future opportunities for the Company.

New Appointments to the Board with Complimentary Skills and Experience

Mr David Charles Croll – Non-Executive Director

Mr David Charles Croll is currently the Managing Director and Founder of Noontide Investments Limited – an investment management company based in Sydney specialising in undervalued small cap stocks David is currently a director of Providence Wealth Advisory Group – an independent wealth manager providing advice to high-net-worth families.

As a non-executive director, David has elected until further notice to not accept fees in his role, from the non-executive director remuneration pool.

Mr James Brett Knowles – Non-Executive Director

Mr James Brett Knowles is currently the Director and Principal Geologist of Measured Group Pty Ltd – an independent company which provides reporting, advice and technical geological services. James has over 23 years’ experience in management and consulting roles including at McElroy Bryan Geological Services Pty Ltd, Excel Coal Limited, BHP Billiton, and Peabody Energy Australia where James was Director of Geology and Resources.

As a non-executive director, James will be remunerated from the non-executive director remuneration pool with no change in remuneration level from the previous non-executive directors of the Company.

High Peak Royalties’ Interim Chairman, Geoffrey King commented:

“I welcome David and James to the Board of High Peak Royalties. Their appointments will enhance and broaden the skills and experience already present on the Board.
