Outcome of oral hearing in the appeal case concerning Xella’s pre-merger
notification of a possible merger with H+H

Reference is made to prior company announcements concerning Xella International
Holdings S.à.r.l.’s (“Xella”) interest in taking over H+H International A/S
(“H+H”) and Xella’s pre-merger notifications to relevant competition
authorities in that regard, as well as the Bundeskartellamt's (the German
competition authority) decision of 14 March 2012 to prohibit a possible merger
between Xella and H+H with regard to the German market and Xella’s subsequent
appeal of the prohibition decision to the Oberlandesgericht Düsseldorf
(Düsseldorf Higher Regional Court).

As informed in the interim financial report for H1 2013 (cf. company
announcement No. 287 of 22 August 2013) the first oral hearing in the appeal
case before the Oberlandesgericht Düsseldorf was held today.

The court informed that its decision will be rendered at a court meeting to be
held on 25 September 2013. The hearing today did not provide an indication as
to what the court's decision will be. H+H will inform about the decision when
it has been rendered.

Regardless of the pending court case between Xella and the Bundeskartellamt,
H+H will continue to pursue its strategy on a stand-alone basis.
