EXTENSION OF LONG STOP DATE IN RELATION TO ISSUE OF NEW SHARES AND UNLISTED WARRANTS UNDER SPECIFIC MANDATES

References are made to the announcement of HG Semiconductor Limited (the ‘‘Company’’) dated 29 September 2022 and the circular of the Company dated 28 November 2022 (the ‘‘Circular’’), respectively, in relation to, among other things, the Shares Subscription and the Warrants Subscription. Unless otherwise defined, capitalised terms used in this announcement shall have the same meanings as those defined in the Circular.

As additional time is required to satisfy and/or fulfill the conditions precedent as set out in the Share Subscription Agreement and the Warrant Subscription Agreement, respectively, on 30 November 2022 (after trading hours), the Company and the Subscriber, after arm’s length negotiation, entered into a supplemental agreement to extend the Long Stop Date of both the Shares Subscription and the Warrants Subscription from 30 November 2022 to 28 February 2023.

Save as disclosed above, all other terms and conditions of the Share Subscription Agreement and Warrant Subscription Agreement shall remain in full force and effect.
