VOLUNTARY ANNOUNCEMENT

ESTABLISHMENT OF THE GLOBAL STRATEGIC ADVISORY COMMITTEE

This is an announcement made by HG Semiconductor Limited (the ‘‘Company’’, together with its subsidiaries, the ‘‘Group’’) on a voluntary basis to keep shareholders and potential investors of the Company informed of the latest business development of the Group.

ESTABLISHMENT OF THE GLOBAL STRATEGIC ADVISORY COMMITTEE

The board (the ‘‘Board’’) of the directors (the ‘‘Directors’’) of the Company is pleased to announce the formation of a global strategic advisory committee (the ‘‘Global Strategic Advisory Committee’’) and its initial members. Mr. Sonny Wu (‘‘Mr. Wu’’) was appointed as chairman of the Global Strategic Advisory Committee and Mr. Kenneth James Bradley (‘‘Mr. Bradley’’) and Mr. Tang Yin Man (‘‘Mr. Tang’’) were appointed as members of the Global Strategic Advisory Committee of the Company with effect from 5 January 2022.

The main function of the Global Strategic Advisory Committee is to report and advise the management of the Company with sound strategic and tactical advice on issues that the Group may face from time to time, including but not limited to matters relating to the gallium nitride and silicon carbide semiconductor industry, such as factory localisation in Hong Kong and China and global supply chain programs. The Board has determined that the establishment of the Global Strategic Advisory Committee with members who have considerable experience in the gallium nitride and semiconductor industry and strategic investment and development will strengthen the Company’s business operations.

The biographical details of Mr. Wu, Mr. Bradley and Mr. Tang are set out as follows:

Mr. Sonny Wu

Mr. Wu has extensive experience and notable investments in the field of semi-conductor as well as solar technology, new energy solution, battery, fast charging solution.

Mr. Wu studied at the University of British Columbia, Canada and University of California, Berkeley and Massachusetts Institute of Technology (‘‘MIT’’). He served as the Sloan Fellows’ Board of Governors at MIT for 5 years. He also served as a founding council member of Southern China University of Science and Technology (南方科技大學) since 2012, being one of the fastest growing research-based universities in China. Mr. Wu is also a honorable citizen of three of the fastest economic cities in China: Shunde, Foshan City, Nanchang City and Wujin, Changzhou City where he has made contributions in technology and industrial investments in the last 20 years.

Mr. Wu started his professional career at Bell Northern Research in Ottawa, Canada, working on Surface Acoustic Wave (聲表面波射頻器件) filters and BiCMOS semiconductors, and led the development of the first batch of semiconductor factory in China in 1993. Mr. Wu and Mr. Bradley worked together to localise the first BiCMOS manufacturing line in China in 1993, which has become what is known today the factory for GTA Semiconductors (formerly known as Shanghai Advanced Semiconductors). He led the strategic investment in China for Nortel Networks Inc. in the 1990s and was the first to build the wireless CDMA business prior to China entering into The World Trade Organization (‘‘WTO’’) and achieved sales of USD2.0 billion in less than 3 years from 1998 to 2000.

He is the co-founder of GSR Ventures in 2004 and currently the Chairman of GoldenSand Capital with a special investment focus in the realms of semiconductors, new materials and new energy; for instance, Silevo Solar (acquired by Tesla/SolarCity in 2014), SEEO, Inc solid-state battery (固態電池) (the world’s first solid-state battery company, acquired by Robert Bosch GmbH in 2013), Advanced Lithium Electrochemistry (Cayman) Co. Ltd. (英屬蓋曼群島商立凱電能科技股份有限公司) (world’s leading supplier of high-end lithium iron phosphate battery cathode materials, and its cumulative shipments of high-end products ranking first in the world), Ningbo Ronbay Lithium Battery Material Co., Ltd. (寧波容百新能源科技股份有限公司) (China’s fastest-growing power battery NMC 811 cathode (動力電池NMC 811正極) material company, listed on the Shanghai Stock Exchange Science and Technology Innovation Board in 2019), Aerofarms, LLC, SMIT Holdings Limited 國微控股有限公 司 and 廣州慧智微電子有限公司 Smarter Microelectronics (a leading mobile RF devices company focus on multi-mode multi band GaAs on SOI technology that is supplying to Samsung and other leading mobile phone companies in China). Since 2012, Mr. Wu and Mr. Tang have also worked on technology investment in new materials and also EV space, particularly on the restructuring of Fisker EV, which was successfully sold to Wanxiang Group Corporation (萬向集團).

Mr. Wu has substantial years of management experience in the field of LED and semiconductor lighting. He has invested in a series of LED enterprises, including Nanchang Lattice Power Corporation, ShineOn (Beijing) Technology Co., Ltd. (易美芯光(北京)科技有限公司) and served as Chairman on the board of directors. To recognise its innovative technology and invention of gallium nitride (GaN) on silicon substrate, Nanchang Lattice Power Corporation was awarded the first prize of China’s National Science and Technology Innovation Award in 2015.

Mr. Kenneth James Bradley

Mr. Bradley graduated from Algonquin College Electronics Technology, Canada and is a member of the Association of Professional Engineers Ontario P. Eng (Electrical Engineering). Mr. Bradley has over 40 years in the electronics industry. From 1972 to 2002, Mr. Bradley worked at Nortel Networks, a multinational telecommunications and data networking equipment manufacturer, where he was first appointed as a process development engineer working with multiple technologies and products such as silicon, LEDs and microwave devices, and served as general manager of Northern Semiconductor Limited. During this time, Mr. Wu and Mr. Bradley worked together to localise the first BiCMOS manufacturing line in China in 1993, which has become what is known today the factory for GTA Semiconductors (formerly known as Shanghai Advanced Semiconductors). He left Nortel Network Corporation in 2002 with his last held position as senior vice president of global supply chain. From 2002 to 2005, he worked at Coresim Inc, a leader in advanced design analysis and redesign services, as chief executive officer. He is currently the founder, chief executive officer and chairman of Lytica Inc. which was set up in 2005 as an electronics component supply chain analytics and risk intelligence company.

Mr. Bradley was also a director of Powerwave Technologies Inc, a company in end-to-end wireless coverage and capacity solutions, and SynQor, Inc, a supplier of power conversion solutions to multiple industries including industrial, telecommunications and computing markets.

Mr. Tang Yin Man

Mr. Tang obtained a Bachelor of Science degree in Material Science and Production Management from Brunel University London and a Master of Business Administration degree in Finance from The University of Nottingham. Thereafter, he was an investment strategist for various investment entities, including the Rothschild Investment Trust, in the United Kingdom. Since 2012, Mr. Wu and Mr. Tang have worked on technology investment in new materials and also EV space, particularly on the restructuring of Fisker EV, which was successfully sold to Wanxiang Group Corporation (萬向集團). Mr. Tang joined PCCW Limited in June 2013 and had taken on the capacity as the Head of Strategic Development of PCCW Solutions based in Hong Kong responsible for its strategic investment and development. From November 2014 to November 2021, Mr. Tang was employed as the chief financial officer of Pacific Century Premium Developments Limited, a company listed on The Stock Exchange of Hong Kong Limited (stock code: 432). Mr. Tang possesses extensive experience in strategic investment and portfolio management worldwide and had worked in numerous leading investment management companies in Europe and Asia for over 22 years.
