Pursuant to the provisions of the Regulation 31(4) of the SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011, we, the individuals and entities belonging to promoter and promoter group (listed in Annexure A) of HFCL Limited, hereby declare that we collectively held 43.30.44.594 (28.29%) equity shares of HFCL Limited as on March 31, 2026.

Out of aforesaid shareholding, 50.00.000 (0.33%) equity shares are pledged. Further, 24.15.48.750 (15.78%) equity shares, are encumbered by way of Non-Disposal Undertaking, as on March 31, 2026, for securing the borrowings of HFCL Limited.
