(the “Company”) relating to the distribution units of the Company, each unit consisting of one common share and one half of one common share purchase warrant of the Company.

We consent to being named in the Prospectus and to the use through incorporation by reference in the Prospectus, of our independent auditors’ report dated July 13, 2021, to the Shareholders of 2579951 Ontario Inc. on the following financial statement:

• a. Consolidated balance sheet as at December 31, 2020; and,
