Adoption of Form of Performance Based Award Agreement

On December 5, 2011, the compensation committee of our board of directors approved a form of performance based award agreement (“PBA”), effective as of January 1, 2012. The form of PBA provides that, based on our performance over a three-year performance period, a grantee can earn a threshold, target and maximum number of shares. The maximum number of shares that can be earned is 200% of target. The compensation committee determines the applicable performance measures and target award.

The above description is a summary of the PBA described herein. The form of PBA is filed as an exhibit to this Form 8-K, and the above summary is qualified in its entirety by the full PBA.
