The Board of Directors of the Company have approved the following ma�ers on Friday, September 12, 2025.

1. Allotment of 24,180 equity shares having face value of INR.1 each to employees including employees of Subsidiary Company on exercise of RSUs under Hexaware Employees Stock Op�on Plan 2015.

2. Allotment of 1,50,000 equity shares having face value of INR.1 each at issue price of INR.382.5 per share to Hexaware Employees Stock Op�on Trust 2024 (“Trust”). These shares will be transferred by the Trust to employees on exercise of op�on under Hexaware Employees Stock Op�on Plan 2024.
