Subject: Intimation of Grant of Options under Employee Stock Option Plan 2024 of the Company

Pursuant to Regulation 30 of Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“Listing Regulations”), we wish to inform you that the Nomination and Remuneration Committee (“NRC”) of the Board of Directors of the Company in their Meeting held on February 3, 2026, have approved the grant of 2,67,300 (Two Lakh Sixty Seven Thousand Three Hundred Only) Employee Stock Options (“Options”) under the “Hexaware Employees Stock Option Plan 2024”.

The details required pursuant to with Regulation 30 of the Listing Regulations read with SEBI Circular SEBI/HO/CFD/PoD2/CIR/P/0155 dated November 11, 2024 (“Master Circular”) are enclosed hereto as Annexure - A .

The NRC Meeting commenced at 09.02 P.M. and concluded at 9.14 P.M.

The granted Options once vested shall entitle the Option holder to acquire equal number of Equity Shares, upon payment of exercise price and applicable taxes in accordance with terms and conditions of the Plan.
