Subject: Intimation of Grant of Options under Employee Stock Option Plan 2024 ("Plan") of the Company
Pursuant to Regulation 30 of Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 ("Listing Regulations"), we wish to inform you that the Nomination and Remuneration Committee ("NRC") of the Board of Directors of the Company in their Meeting held on April 29, 2026, have approved the grant of 1,93,700 (One Lakh Ninety Three Thousand Seven Hundred Only) Employee Stock Options ("Options") under the "Hexaware Employees Stock Option Plan 2024".
The details required pursuant to with Regulation 30 of the Listing Regulations read with SEBI Master Circular HO/49/14/14(7)2025-CFD-POD2/I/3762/2026 dated January 30, 2026 ("Master Circular") are enclosed hereto as Annexure - A.
The NRC Meeting commenced at 7.02 P.M. and concluded at 7.35 P.M.
