Hexagon Composites ASA: Share capital increase registered

Reference is made to the stock exchange announcement made by Hexagon Composites

ASA (the "Company") on 16 September 2025 regarding the successful private

placement of 42,014,080 new shares at a price per share of NOK 14, raising gross

proceeds of approximately NOK 590 million (the "Private Placement"). The share

capital increase pertaining to the issuance of the new shares in the Private

Placement has now been registered with the Norwegian Register of Business

Enterprises. The Company's new share capital is NOK 25 208 449.60 divided on

252,084,496 shares, each with a par value of NOK 0.10. Shares allocated in the

Private Placement are now tradable.
