Subject: Outcome of Resolution passed by the Board of Directors by Circulation

Pursuant to the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, we would like to inform you that Board of Directors by circulation of resolution, have approved the followings:

1. Re-appointment of Mr. Naman Patel as an Independent Director of the Company for the period of 3 years with effect from 1 April 2020 to till 31 March 2023, subject to approval of members.

2. Re-appointment of Mr. Amit Shukla as an Independent Director of the Company for the period of 3 years with effect from 1 April 2020 to till 31 March 2023, subject to approval of members.

3. Appointment of Ms. Sandhya Patel as an Independent Director of the Company for the period of 3 years with effect from 1 April 2020 to till 31 March 2023, subject to approval of members.

4. Appointment of Mr. Ashok Bhadakal as an Independent Director of the Company for the period of 3 years with effect from 1 April 2020 to till 31 March 2023, subject to approval of members.

5. Re-constitution of Committees of the Board of Directors of the Company.
