Refence is made to Magnora ASA (“Magnora”) on 16 June 2025 announcing sale of all of Magnora’s 4,025,621 shares in Hermana Holding ASA (“Hermana”) to shareholders of Magnora. The process was initiated after Magnora received an unsolicited bid for its full shareholding in Hermana from a small group of Magnora shareholders (the “Offering”) , whereafter Magnora and the bidding investors agreed to launch an open bookbuilding process for a part of the Offering at a fixed price of NOK 10 per Hermana share, equal to the bid price.

Later on 16 June 2025, Magnora announced that the transaction was successfully completed.

As a result, Magnora’s owner share in Hermana has been reduced from 30% to zero.
