Annual General Meeting to be held on 17 April 2020

COVID-19 Response

The Board of Herald Investment Trust plc ("the Company") is monitoring the Government advice in relation to the COVID-19 situation. Having consideration of the well-being of shareholders and other attendees, it has decided to change the format of the Annual General Meeting ("AGM") in 2020.

The AGM will proceed on 17 April 2020 at 11.30 am, but only the business set out in the Notice of Meeting will be conducted to maximise protection of attendees. There will be no Investment Manager's presentation, physical attendance by directors will be limited to those that can safely attend and no refreshments will be served.  Directors not able to attend in person will join remotely. 

An update on performance from the Chairman will be provided shortly after the AGM and will also be available on the website with a slide presentation from the Investment Manager. 

The latest guidelines from the Government has advised that individuals should avoid social contact, gatherings and all non-essential travel.  The Board believes that all shareholders will wish to comply with these guidelines and therefore encourages shareholders to submit their proxy votes electronically.

Proxies must be received by no later than 48 hours before the commencement of the meeting and can be submitted electronically at www.signalshares.com. 

If shareholders have any questions they would like put to the Board, Investment Manager or statutory auditors, these can be submitted to the Company Secretary via agm@heralduk.com. 

The Company will continue to monitor the situation and, if Government advice dictates, further changes to the arrangements for the AGM are necessary, details will be included on the website www.heralduk.com.
