ALLOTMENT OF SHARES

Henderson Diversified Income Trust plc (the "Company") announces that it has allotted 750,000 new ordinary shares of 1p each fully paid.  These shares were issued today for cash at a price of 94.0p per share.

The total number of shares in issue is now 190,368,240. 

The total number of voting rights in the Company is now 190,368,240 in respect of the ordinary shares. The above figure 190,368,240 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Henderson Diversified Income Trust plc under the FCA's Disclosure Guidance and Transparency Rules.
