Disclosure Regarding Frequency of Stockholder Advisory Vote on Executive Compensation
Based on a majority of votes cast, the stockholders voted, on an advisory basis, to hold an advisory vote to approve executive compensation every year. On June 7, 2017, after taking into consideration the stockholder vote, the Companys Board of Directors determined that the Company will conduct advisory votes to approve the compensation of the Companys named executive officers on an annual basis. Accordingly, the Company will include an advisory vote on executive compensation in its proxy materials every year until the next stockholder vote on the frequency of such votes is held which will be no later than the Companys 2023 Annual Meeting of the Stockholders.
