HELMA Eigenheimbau AG passes resolution to implement capital increase

Lehrte, April 27, 2011 - The Management Board of HELMA Eigenheimbau AG, the
specialist for individual solid construction houses and sustainable energy
concepts, has today passed a resolution with Supervisory Board assent to
increase the company's share capital under exclusion of subscription rights
for existing shareholders by up to EUR 260,000.00, from currently EUR
2,600,000.00 to up to EUR 2,860,000.00, through issuing up to 260,000 new
ordinary bearer shares under partial utilisation of the existing approved
capital. The new shares are to be placed among German and European
institutional investors by way of an accelerated bookbuilding procedure.
M.M.Warburg & CO KGaA will manage the transaction as lead manager and
bookrunner. ICF Kursmakler AG will act as selling agent. The
funds from the capital increase are to be utilised primarily for the
further significant expansion of the project business within the
conurbation areas of major German cities.
