Director/PDMR Shareholding

Helios, the only publicly traded company offering instant access to a diverse portfolio of syndicates at Lloyd's of London, the world's largest insurance market, was informed on 12 November 2025 that, pursuant to the recent Tender Offer, Producers National Corporation, which is under the management of Resolute Global Partners Ltd, a Company which Tom Libassi, Non-Executive Director of the Company, co-founded and is managing partner of, tendered an aggregate of 525,478 ordinary shares of 10 pence each ("Tendered Shares") at a price of 238 pence per share. The Tendered Shares were purchased on 3 November 2025 by Deutsche Numis pursuant to the Repurchase Agreement, as set out in the circular published by the Company on 29 September 2025 (the "Circular"). No further directors or persons discharging managerial responsibilities tendered their shares under the Tender Offer.

Further to the abovementioned transaction, Mr Libassi is now interested in 12,888,022 Ordinary Shares, representing 18.52% of voting rights of the Company.
