Item 8.01 Other Events

On May 24, 2016, Hecla Mining Company issued a news release announcing that we and our wholly owned subsidiary, HL Idaho Corp., entered into a Merger Agreement (the “Agreement”) with Mines Management, Inc. (“MMI”). Under the terms of the Agreement, we have agreed to issue 0.2218 shares of our common stock in exchange for each outstanding share of MMI common stock, of which there are approximately 32,000,000 issued and outstanding shares. A copy of the news release is attached hereto as Exhibit 99.1, and is incorporated herein by reference.
