Item 8.01 Other Events

On January 10, 2014, the Company issued a news release announcing the final results of the Company’s offer to exchange (the “Exchange Offer”) up to $500,000,000 aggregate principal amount of its new 6.875% Senior Notes due 2021 for a like principal amount of its outstanding 6.875% Senior Notes due 2021.

The Exchange Offer expired at 5:00 p.m. Eastern Standard Time, on Monday, January 6, 2014. Settlement occurred on January 10, 2014.

A copy of the news release is attached as Exhibit 99.1 to this Form 8-K.
