Sale of Adora Fertility

Healius Limited (Healius) (ASX: HLS) today announced it has entered into a binding agreement to sell Adora Fertility and three co-located Healius Day Hospitals[1] (collectively Adora) to Virtus Health for $45 million on a cash and debt-free basis.

Healius’ Managing Director and Chief Executive Officer, Dr Malcolm Parmenter, said: “Adora has made assisted reproductive technology (ART) available to more people than ever in Australia, while maintaining a model of care based around highly qualified specialists.

“It has grown from start-up in 2014 to helping more than 7,000 people achieve their dream of having a baby, delivering success rates in line with market averages[2] through its accredited surgeries and laboratories in four of Australia’s states. After investment for growth in FY 2019 and 2020, it achieved our performance targets this year.

“For Healius, the sale of Adora further simplifies our portfolio and enables management to focus on growth in our core diagnostics and day hospital businesses. We wish all Adora’s dedicated people well in what will be an exciting future in partnership with the team at Virtus Health,” Dr Parmenter concluded.

Completion of the transaction is expected to occur in the second quarter of Financial Year 2022 and remains subject to no material adverse events and certain other conditions precedent.
