CHANGE IN DIRECTOR’S DETAILS – DR PAUL FRANCIS JONES
Background
Dr Paul Francis Jones, a Non‐executive Director of Primary Health Care Ltd (“ Primary ”), has also been a full‐time medical practitioner with Primary for over 10 years. Primary provides medical centre management services (“ Services ”) to a company controlled by Dr Jones. The Services have been provided to Dr Jones’ general medical practice, which is conducted at one of Primary’s large‐ scale medical centres, on ordinary arm’s length terms.
Change to Dr Jones’ Agreement
Pursuant to ASX Listing Rule 3.16.4, Primary is required to announce any material variation of an agreement entered into between Primary and its subsidiaries (“ the Primary Group ”) and any of its Directors.
In the case of Dr Jones, a variation to his agreement has been entered into that might be viewed as material to him, though not material compared to the variations to agreements regularly entered into by the Primary Group with numerous other general practitioners. The variations entered into with Dr Jones lie within the range of the ordinary conduct of Primary’s medical centre business.
The variations to the agreement between the Primary Group and Dr Jones were entered into on 18 March 2016. Please find annexed to this letter a summary of the material variations.

Annexure 1 – Variations to agreement between Dr Paul Francis Jones and the Primary Group
The following are the relevant varied terms agreed between Dr Jones and the Primary Group.
-
the times and hours each week, and weeks each year, that Dr Jones conducts practice in the medical centre have been changed;
-
the percentage charged by Primary to Dr Jones has been adjusted;
-
the term of Dr Jones’ Practitioner Contract Deed has been extended;
-
the restraints imposed on Dr Jones have been expanded; and
-
Dr Jones will be entitled to a lump sum, payable by instalments, subject to certain restrictions.
