Dr Edmund Bateman – material variation to consultancy arrangements

Primary Health Care Limited (“Primary”) announces a material variation to consultancy arrangements with its former Managing Director and CEO, Dr Edmund Bateman.

On 30 January 2015, Dr Bateman retired as Primary’s Managing Director and CEO and became a non‐ executive director (see Primary’s ASX Announcement dated 24 November 2014). Since 3 February 2015, Dr Bateman has provided consultancy services to the Primary Group. Primary has paid Dr Bateman an agreed rate of $70,833.33 per month (plus GST) for these services.

It had been envisaged by both parties that the services would continue for a period of at least 12 months. However Primary and Dr Bateman have today mutually agreed to materially vary the terms of the consultancy arrangements such that they will terminate on 31 August 2015.

No director’s fees have been paid to Dr Bateman in relation to his non‐executive directorship of Primary during the consultancy period.

The directors, staff and all medical professionals associated with Primary continue to wish Dr Bateman a speedy recovery and the best of health.
