Transfer of Treasury Shares/ issued share capital

Headlam Group plc ('Headlam') announces that on 8 August 2014, a total of 42,258 ordinary shares at a price of 222.20 pence per share have been transferred from treasury stock for the purposes of employee SAYE share scheme allotments.

Following the above transfer of treasury stock, Headlam held 1,316,475 ordinary shares as treasury shares. 

The total number of ordinary shares in issue (excluding shares held as treasury shares) was 84,047,268.  Therefore, the total number of voting rights in the Company is 84,047,268.

The above figure may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the Disclosure and Transparency Rules.
