Exercise of share options/ Transfer of Treasury Shares 

Headlam Group plc ('Headlam') announces that on 20 December 2016 share options granted on

10 May 2013 under the Headlam Group 2012 Savings Related Share Option Scheme at an option price of 274.00 pence per share were exercised on reaching normal maturity.

A total of 656 ordinary shares have been transferred from treasury stock for the purposes of employee share scheme allotments.

Following the above transfer of treasury stock, Headlam held 747,119 ordinary shares as treasury shares. 

The total number of ordinary shares in issue (excluding shares held as treasury shares) was 84,616,624.  Therefore, the total number of voting rights in the Company is 84,616,624.

The above figure may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the Disclosure and Transparency Rules.
