Exercise of share options/ Transfer of Treasury Shares 

Headlam Group plc ('Headlam') announces that it has today been notified that on 23 June 2015 Tony Brewer, Group Chief Executive, exercised share options over 7,142 shares granted on 22 August 2005 under the Headlam Group 1998 Approved Executive Share Option Scheme at an option price of 420.00 pence per share. These options are normally exerciseable between 22 August 2008 and 22 August 2015.

Tony Brewer retained all 7,142 shares increasing his beneficial shareholding in Headlam to 613,214 shares representing 0.72% of the issued share capital.

These shares, together with a further 28,568 shares subject to the same exercise criteria in respect of other employees, a total of 35,710 ordinary shares, have been transferred from treasury stock for the purposes of employee share scheme allotments at 420.00 pence per share.

Following the above transfer of treasury stock, Headlam held 1,259,658 ordinary shares as treasury shares.  The total number of ordinary shares in issue (excluding shares held as treasury shares) was 84,104,085.  This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the Disclosure and Transparency Rules of the UK Financial Conduct Authority.
