Subject: Update on Release of Guarantee provided by the Company on USD denominated Senior - Notes issued by HCL America Inc., a wholly owned step down subsidiary

Dear Sir/ Madam,

This is with reference to the 1.375% senior unsecured notes (“Notes”) of USD 500 million that were issued in March 2021 by HCL America Inc., a wholly owned step-down subsidiary of the Company incorporated under the laws of California, USA. In February 2023, the Notes of USD 247.793 million in aggregate principal amount were bought back & cancelled by HCL America Inc.

HCL America Inc. on March 10, 2026 has fully repaid the balance outstanding Notes of USD 252.207 million in aggregate principal amount. The Notes carried an unconditional and irrevocable guarantee by the Company, and as no Notes remain outstanding as on date, the said guarantee shall be released by the Trustee of the Notes.
