Dear Sir,

Pursuant to Section 139 of the Companies Act, 2013 and the Rules made thereunder, it is mandatory for the Company to rotate its current statutory auditors, S. R. Batliboi & Co. LLP, Chartered Accountants (ICAI Firm Registration No. 301003E/E00005), on the completion of the maximum term i.e. till the conclusion of the 27th Annual General Meeting of the Company scheduled to be held in the year 2019.

Accordingly, based on the recommendations of the Audit Committee, the Board of Directors of the Company, at its meeting held on January 12, 2019, has recommended the appointment of BSR & Associates LLP (ICAI Firm Registration No. 116231W/W-100024) as the statutory auditors of the Company who will hold office for a period of five consecutive years from the conclusion of the 27th Annual General Meeting of the Company scheduled to be held in the year 2019 till the conclusion of the 32nd Annual General Meeting to be held in the year 2024, subject to the approval of the shareholders of the Company.

The details as required under Regulation 30 of LODR read with SEBI Circular no. CIR/CFD/CMD/4/2015 dated September 9, 2015 are enclosed as Annexure A.
