This is further to our letter dated 6[th] August 2020 on the above subject.

In terms of Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, we wish to inform you that the Board of Directors of the Company in their meeting held today i.e., 28[th] May, 2022, subject to the approval of requisite authorities , has proposed to change the Appointed date for the Scheme of Amalgamation between Digilife Distribution and Marketing Services Limited (DDMS) and HCL Learning Limited and HCL Infosystems Limited and their respective shareholders and creditors under section 230 to 232 and other applicable provisions of Companies Act, 2013 (‘the Scheme’) from April 01, 2020 to April 01, 2022.

The petition for sanctioning of the scheme was filed before the Hon’ble NCLT, New Delhi bench and the scheme is now pending before the Hon’ble NCLT for next hearing. The Company shall file a separate application seeking approval of Hon’ble NCLT, New Delhi bench for the proposed change in Appointed Date.
