Item 5.02 Compensatory Arrangements of Certain Officers

On December 6, 2012, our board of directors established a plan to award cash bonuses to certain executive officers, including “named executive officers,” as set forth below.

Scott R. Wallace, president —property and casualty division	$ 111,000

The cash bonuses are to be paid before year end 2012.
