Notification of Transactions by Persons Discharging Managerial Responsibilities ('PDMRs')

Hays plc (the "Company")

In accordance with Disclosure and Transparency Rule 3.1.4R (1) (a), the Company was notified that on 26 February 2014:

·     James Cullens, a PDMR, sold 30,000 Ordinary Shares of 1p each in the Company at 141.8313 pence per share; and

·     a person connected with Sholto Douglas-Home, a PDMR, sold 26,655 Ordinary Shares of 1p each in the Company at 139.10 pence per share.
